These terms ("Terms") govern your access to and use of the DuoApp platform and related services ("Service") provided by Duo App Ltd ("DuoApp", "we", "us"). By creating an account or using the Service you agree to these Terms.
1. Your account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be at least 18 years old to create an account.
2. Subscription and billing
The Service is provided on a subscription basis at the prices listed on our pricing page. Charges are billed monthly in arrears based on the number of active seats. You can add or remove seats at any time; pro-rata adjustments are applied on the next bill.
All amounts are in pounds sterling (GBP) and exclusive of VAT. UK customers will see VAT at the prevailing rate added to their invoice.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to systems or other accounts
- Reverse engineer or attempt to extract source code from the Service
- Use the Service to send spam or malware
- Interfere with or disrupt the integrity or performance of the Service
4. Your data
You retain ownership of all data you upload to the Service ("Customer Data"). We process Customer Data only as necessary to provide the Service, in accordance with our Privacy Policy and any Data Processing Agreement we have signed with you.
5. Intellectual property
DuoApp and all related software, branding and content are owned by Duo App Ltd or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription.
6. Termination
You can cancel your subscription at any time from the billing screen. We may suspend or terminate your account if you breach these Terms. Upon termination, you have 30 days to export your data; thereafter we may delete it.
7. Service availability
We aim for 99.9% monthly uptime. Real-time status is published at status.duoapp.co.uk. We do not guarantee uninterrupted or error-free operation.
8. Liability
To the fullest extent permitted by law, our total liability for any claim arising under these Terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect or consequential losses.
9. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
